You can do business, either as a sole proprietor or create a Mexican LLC owned by foreign interest. Most people prefer to create a Limited Liability Company, known as a S. de R.L. de C.V. It is important to note that foreigners should never create an S.A. company, as this is for Mexican nationals and the same rights do not apply to foreigners under this type of corporate structure.
There are many obligations of disclosure, filings and reporting that are necessary and if they are not made on time, there are fines that accumulate monthly, even if you do not earn income or owe taxes. The obligations that a Mexican corporation must meet are: legal, tax, foreign investment, employment, immigration and others.
Make sure you get good advice from reputable lawyers and accountants who understand the complexity of foreign investment. A little planning and understanding the requirements can save you months of frustration and a lot of money.
